ISS Announces 2021 Benchmark Policy Updates November 16, 2020 Institutional Shareholder Services (ISS) on November 12 released updates to its benchmark proxy voting policies, which will apply for shareholder meetings taking place on or after February 1, 2021. In its 2021 policy changes, ISS will now also recommend a vote against or withhold from all director nominees (except new nominees, who are considered case-by-case) if the pill, whether short- or long-term, has a dead-hand or slow-hand feature. ISS has indicated that it plans to issue its final policy updates for 2021 during the middle of November. As in prior years, the policy updates will go into effect at the beginning of February of the following year; in this case, February 1, 2021. ISS has modified its proxy voting policies for U.S.-listed companies in the following respects: Adoption of a revised policy on director accountability for significant risk oversight failures related to environmental and social issues (effective for meetings held on or after February 1, 2021), and

On October 14, 2020, ISS released its proposed voting policy changes for 2021. The changes for the United States focus mainly in these three areas: (1) racial and ethnic board diversity, (2) board oversight of environmental, climate and social risks and (3) exclusive forum provisions.
